FEDERAL BID PARTNERS — SERVICE & PROPOSAL-WRITING AGREEMENT Effective September 9, 2026 | Version fbp-services-2026-09-09-v1 1. PARTIES AND ACCEPTANCE FEDERAL BID PARTNERS LLC (FBP) provides the services. FBP is wholly owned by VIRTUTERRA HOLDINGS, LLC, which collects payment for FBP through Stripe. Your receipt or bank statement may identify either company. The customer is the business identified at checkout, or the individual purchaser if no business applies. The purchaser represents that they are authorized to bind the customer and authorize the payment. By entering their authorized representative name, checking the agreement box, and completing checkout, the purchaser electronically accepts this agreement for the customer and requests that FBP begin the agreed services. Save or print this agreement before paying. Contact FBP if you need a separately signed engagement before purchasing. 2. PURCHASED SCOPE AND ORDER OF TERMS The selected service names, quantities, prices, stated service term, and written scope confirmed with FBP define the engagement. A custom payment applies only to its agreed project or quote; it does not purchase unspecified additional work. Any separately signed engagement controls a conflict with this agreement. This agreement controls a conflict with general website terms for purchases through this storefront. A price or service label alone does not promise unlimited support, deliverables, revisions, submissions, or a particular start date. Confirm the scope and schedule before paying. Material scope changes require written agreement on price and timing before additional work. 3. PROPOSAL WRITING AND SUPPORT PLANS FBP provides the proposal research, organization, drafting, editing, compliance review, or other assistance expressly included in the purchased scope. Plan limits, including proposals per month and the purchased term, apply as described in the order and written scope. A plan is not a promise of a minimum number of government opportunities or awards. Unless expressly included, additional solicitations, major solicitation amendments, new technical solutions, extensive pricing models, oral presentations, protests, legal opinions, and work beyond agreed revision rounds require separate scope confirmation. FBP will confirm the applicable revisions and submission responsibilities in writing before work begins. No automatic renewal is started by this storefront payment; another term requires a separate authorization. 4. CUSTOMER INFORMATION, REVIEW, AND DEADLINES The customer supplies complete and accurate solicitation documents, amendments, technical facts, pricing decisions, qualifications, representations, past performance, and other requested materials on the agreed schedule. The customer is responsible for its eligibility, certifications, factual accuracy, pricing, and final approval. The customer must review drafts and identify corrections promptly. FBP does not independently certify the truth of customer-supplied representations. Unless FBP expressly agrees in writing to submit, the customer submits the final proposal and verifies timely receipt. If FBP submits, the customer must provide timely written approval and authorized access. FBP does not guarantee a deadline it has not accepted in writing. Customer delays, changed requirements, or portal outages may require a revised schedule; FBP will communicate material impacts. These provisions do not excuse FBP's own material failure to perform its agreed obligations. 5. NO GUARANTEE OF OUTCOME Fees purchase professional services, not a contract award, grant, certification, government approval, revenue, or a procurement advantage. Government agencies and other third parties make their own decisions. A lost bid, rejected application, changed procurement, or lack of revenue does not by itself show that FBP failed to provide the agreed services. FBP is a private company and is not a government agency. Government registration fees, if any, are separate; SAM.gov registration itself is free. Consulting does not replace advice from the customer's attorney, accountant, or other licensed adviser. 6. PAYMENT, CANCELLATION, AND REFUND LIMITS Payment is due as stated at checkout or in the signed engagement. Card and eligible US bank payments are processed through Stripe. A pending ACH payment is not confirmation that funds have cleared. FBP may wait for successful payment before starting or releasing work. Once performance begins, fees earned for services actually performed and reasonable, documented, nonrecoverable costs authorized for the engagement are nonrefundable, except where law requires otherwise. Performance can include agreed intake, research, planning, drafting, review, and delivery. Beginning one task does not automatically earn the entire fee for future months or undelivered work. No discretionary refund is owed for completed, conforming work merely because the customer changes its mind, withdraws a proposal, declines to use delivered work, loses a bid, experiences a third-party delay, or fails to supply required information. Cancellation stops future work when reasonably practicable; the customer remains responsible for earned fees and authorized nonrecoverable costs. FBP will provide an accounting and refund any remaining unearned prepaid balance. If cancellation occurs before any work or authorized nonrecoverable cost, the prepaid service fee will be refunded. Specific reasonable capacity-reservation or cancellation charges apply only if separately disclosed and agreed in writing before purchase; this agreement creates no automatic forfeiture of all unused plan fees. Notify FBP promptly of a claimed scope or delivery failure and provide enough detail to investigate. Where reasonable, FBP will have an opportunity to correct the issue without delaying any legal or payment-network deadline. If FBP materially fails to provide agreed services and does not reasonably cure, the customer may cancel the affected unperformed portion and obtain any refund required by this agreement or law. Duplicate charges, verified unauthorized payments, and legally required refunds remain eligible for correction. Refunds are processed to the original payment method where available, subject to processor timing and any active dispute procedures. 7. BILLING QUESTIONS AND PAYMENT DISPUTES Contact contact@federalbidpartners.com or (877) 420-8206 with the order reference and issue so FBP can investigate. Contacting FBP first is requested where practical, but is not a condition on statutory, card-network, or ACH dispute rights and does not extend or shorten their deadlines. The customer agrees to provide truthful information in any billing dispute. FBP and its parent may submit relevant order details, the accepted agreement version, payment authorization records, correspondence, drafts, delivery records, approvals, and work logs to the processor or bank, consistent with applicable law and privacy obligations. This agreement does not prohibit legitimate chargebacks, waive nonwaivable rights, guarantee a dispute outcome, or impose a fee solely for exercising a lawful dispute right. A payment reversal does not by itself decide a separate contract claim. 8. DELIVERABLES AND CONFIDENTIAL INFORMATION FBP may deliver electronically to the customer's designated email or agreed workspace. Both parties will use reasonable care to protect confidential business information and use it only for the engagement, administration, payment, or lawful dispute resolution. Do not send classified information, controlled unclassified information, sensitive personal data, or restricted materials through ordinary checkout or email; any authorized handling requires a separately agreed suitable process. The customer retains ownership of its supplied materials. After full payment for the relevant deliverable, the customer may use, edit, and submit that deliverable for its business purposes. FBP retains its preexisting templates, methods, and tools, while granting the use needed for the paid deliverable. Third-party materials remain subject to their own rights. 9. ELECTRONIC RECORDS AND GENERAL TERMS The customer agrees to electronic delivery of this agreement and engagement communications and may retain them by saving or printing. Checkout retains the typed representative and customer business fields and records terms acceptance when checkout is completed. These records support acknowledgment; they are not an independently verified identity certificate. Future versions do not retroactively change an accepted order without agreement. Florida law governs, excluding conflict-of-law rules, except where mandatory law requires otherwise. An invalid provision is limited or severed without eliminating the remaining lawful provisions. No term excludes liability or a remedy that cannot lawfully be excluded.
